3. Indemnification.
You agree to indemnify, defend and hold harmless PlanetTeleclass.com, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the Service.
4. Third Party Rights.
The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of PlanetTeleclass.com and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
5.Term; Termination.
This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement. Termination must be in writing to the address listed in the form for the instructor or to the registered address listed for PlanteTeleclass.com in the whois directory of the domain name registrar. Termination via email will not be accepted.
6.Miscellaneous.
This Agreement shall all be governed and construed in accordance with the laws of United States applicable to agreements made and to be performed in United States. You agree that any legal action or proceeding between PlanetTeleclass.com and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in United States . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. PlanetTeleclass.com failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. PlanetTeleclass.com may assign its rights and duties under this Agreement to any party at any time without notice to you. PlanetTeleclass monitors and check teleleader class listings to ensure our accuracy of the listing and the availability of the class. We may at our discretion delete, modify or alter any teleleader's website listing that does not match the current listing on the PlanetTeleclass.com website or is not in keeping with the current requirements of listing a class or is listed with PlanetTeleclass.com and is non-existent on the teleleader's website. The terms for being a registered TeleLeader at PlanetTeleclass.com is that the registered TeleLeader is able to receive the weekly news letter. If at any time the listing person's ISP is blocking the weekly news letter for any reason, the registered TeleLeader's registration and all benefits therein may be removed until their ISP no longer blocks the news letter or the TeleLeader provides PlanetTeleclass.com with a valid and working email address. With regards to single Premium and single Standard class listings, a refund is only possible if the class has not been posted on the website AND PlanetTeleclass was notified of a request for a refund prior to the Premium or Standard class listing being posted to the website. Notification typically can be done via email to help at planetteleclass.com. There are no refunds for unused time regarding the Unlimited Premium class listing subscription. Classes are posted in this priority: Lifetime TeleLeaders, Unlimited Premium classes, Single Premium classes, Single Standard classes. Within each class group posting is on a first come first served basis as far as listing order goes. Planetteleclass is not responsible for the cancelation of a subscription but will facilitate a cancelation if notified via email that such action is requested by the teleleader. Regarding the Unlimited Premium class listings subscription, a minimum of 3 months being subscribed to this service is required before a TeleLeader can cancel it. There are no refunds on subscriptions that the TeleLeader forgot to cancel and have continued to auto-renew. It is the TeleLeader's responsibility to keep track of their subscription and cancel it when they wish or after the 3 month minimum time period is up. That means you may cancel the subscription the day after the 3rd monthly payment has been posted to the PlanetTeleclass account. If a TeleLeader cancels before the 3 months are up, a $49 early termination fee will apply and is due and payable immediately. If after reasonable effort has been made to contact the TeleLeader through the information provided on their registration from to collect the early termination fee, PlanetTeleclass may at its discretion remove the TeleLeader's current class listings, if any, until the fee is paid. After the fee is paid the removed class listings will be reinstated. TeleLeader agrees to pay all attorney's fees and other fees in connection to collecting any amount owed to PlanetTeleclass.com under the terms herein. Lifetime TeleLeader licenses are non-refundable once purchased but are transferable. See terms of use for that product on that product's page. Mini-banners which are included in the Lifetime Teleleader licensea and the Unlimited monthly Premium listing package are posted on Sunday when classes are updated for classes that fall 1 week into the future. No mini-banners are posted for classes submitted on Wednesday which is also an update day. The full extent of these terms can change without notice. Bookmark this page for reference.
